Terms and Conditions

Definitions

“Advertiser” means the advertiser or the advertising agency acting on behalf of its client, who places an advertisement on the Website and/or Publications;

“Advertisement Booking Form” means the advertisement booking form issued by WMSB to the Advertiser in respect of the booking of an advertisement for the Website and/or the Publications;

“Fees” shall mean the fees stated in the Advertisement Booking Form;

“Publications” means any of the publications by WMSB which includes Weddings Malaysia, Journeys for Two and the Hip List;

“User” means any user of this Website;

“Website” means the website known as weddingsmalaysia.com; and

“WMSB” means WeddingsMalaysia.Com Sdn Bhd.

Terms and Conditions

1. Terms of Payment: 50% of the Fees are required as a non-refundable deposit for the reservation of the advertisement in the Publications (“Deposit”) and 50% of the Fees are due on the delivery of the magazines to the Advertiser. Payment may be made by cash or crossed cheque in favour of Weddings Malaysia.Com Sdn Bhd (RHB Bank Berhad Account No:21444600022731). A charge of RM10 will be imposed on cheques returned for any reason. WMSB reserves the right to charge interest at the rate of 2% per month for any late payment. For the avoidance of doubt, where the advertiser is an advertising agency, no commission shall be payable by WMSB to the advertising agency for the booking of the advertisement.

2. Cancellation and Termination: Cancellations will not be entertained. Either party may terminate the Advertisement Booking Form in the event of a material breach of these Terms and Conditions by the other party, which remains uncured after ten (10) days written notice thereof. In addition, WMSB may terminate the Advertisement Booking Form upon a material breach by Advertiser of any other agreement between the parties which is not cured within cure period set forth in such agreement. If WMSB terminates the Advertisement Booking Form due to the Advertiser’s material breach of any requirement of the terms and conditions or of any other written agreement with WMSB, all of the Advertiser’s payment obligations hereunder shall survive such termination. If Advertiser terminates the Advertisement Booking Form due to WMSB’s material breach of the terms and conditions, the Advertiser will be responsible only for the Pro-rata Payments (hereinafter defined). WMSB may terminate the Advertisement Booking Form at any time for any reason upon thirty (30) days written notice to the Advertiser (or upon such shorter notice as may be designated by WMSB in the event that WMSB believes in good faith that further display of the advertisements will expose WMSB to liability or other adverse consequences). In such event, the Advertiser will be responsible only for only the Pro-Rata Payments.

3. Deadline: The Advertiser must provide all necessary artwork and active URLs to WMSB in the time frame and the specified within the advertising specifications provided by WMSB from time to time. For the avoidance of doubt, the Advertiser understands that the deadline referred to in the Advertisement Booking Form for the submission of materials by the Advertiser in respect of the advertisements shall apply.

4. Failure: All the rights that are released and quoted are only given subject to payment in full. WMSB reserves the rights to terminate the delivery of the Publications and/or services in its entirety and/or partially with the possibility of a monetary claim(s) as per order value should you fail in fulfilling any of the Terms and Conditions stated herein, inclusive of Terms of Payment.

5. Editorial Prerogative: The editorial prerogative for use of the photographs and editing of any written material provided by the Advertiser, shall lie with WMSB. The Advertiser represents and warrants that the Advertiser owns or has obtained copyright permission to the photographs and editorial content submitted. WMSB reserves the right to reject any photographs and/or material submitted by the Advertiser, which it deems inappropriate. WMSB will be entitled to reject or discontinue advertisements at any time. In such event, Advertiser will be responsible for only a pro-rata portion of payments due hereunder, based on impressions delivered (the “Pro-rata Payments”). WMSB may redesign the Website and/or Publications in its sole discretion at any time. If any redesign materially and adversely affects the placement of one or more advertisements, or if WMSB is otherwise unable to display such advertisements, WMSB will work with the advertiser to display the affected advertisements elsewhere in comparable areas of the Website and/or affected Publications.

6. Permission: The Advertiser hereby grants to WMSB the right to market, display, reproduce (including compression and temporary storage), distribute, perform, transmit and promote the advertisements together with any content or materials on any interactive site linked to the advertisements through the Website. The Advertiser certifies that it has all necessary consents (particularly the requisite consents pursuant to the Personal Data Protection Act 2010), rights and permissions to offer, sell and/or license such products and services through the advertisements and the Advertiser’s website, and that the advertisements and the Advertiser’s website do not and will not violate any applicable laws (including without limitation the Personal Data Protection Act 2010) or regulations or any third-party rights (including, without limitation, intellectual property rights), or contain any libelous or defamatory materials. Advertiser certifies that the advertisements and the Advertiser’s website will at all times comply with all standard, written policies applicable to WMSB. The Advertiser further confirms that WMSB is given the right and permission to use any and all images, both photographic prints and digital images and videos or other recording media, in their advertising, studio, literature, event exhibitions, editorial, trade or any other purpose and in any manner and medium. The Advertiser releases WMSB and its legal representatives and assigns from all claims and liability relating to said photographs, videos or other recording media.

7. Responsibility of the Advertiser: The Advertiser shall bear full responsibility for all products or services offered, sold, or licensed through the advertisements or the Advertiser’s website. The Advertiser will collect and pay all taxes related to the sale or licensing of such products or services.

8. WMSB’s Intellectual Property: The Advertiser shall not use, display or modify WMSB’s trademarks or copyrighted material in any manner without the prior written consent of WMSB.

9. Co-operation: The Parties agree to positive cooperation and communication for the best possible results. WMSB is not responsible for the acts and omissions of the other Advertisers to the Publications or Website or their failure to cooperate.

10. Limitation of Liability; Disclaimer; Indemnification: (A) Except in connection with the confidentiality, solicitation, tax and indemnity provisions herein, damages under this agreement shall be limited to direct damages, (B) WMSB does not make and specifically disclaims any representations or warranties, express or implied, and under no circumstances will WMSB aggregate liability hereunder or in connection herewith (including, without limitation, in respect of the indemnity below) exceed the advertising fees actually paid by the Advertiser to WMSB hereunder and THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAWS, and (C) The Advertiser shall indemnify and hold WMSB harmless against and all actions, proceedings, demands, claims, liabilities or damages, costs or expenses whatsoever or howsoever arising as a result of any omission, breach or non-compliance by the Advertiser of these terms and conditions , including without limitation, those arising from or in connection with third party claims for breach of contract, personal injury, damage and/or loss, defamation, failure to obtain the relevant licenses, the infringement of any patent, trademark, copyright or other intellectual property rights.

11. Related Limitations and Covenants: Neither WMSB nor its affiliates shall have any liability whatsoever by reason of error for which they may be responsible in any advertisement beyond liability to give the Advertiser credit for so much of the space occupied by the advertisement as is materially affected by the error; and its obligation to give such credit shall not apply unless it is notified of the inaccuracy within 48 hours following the posting error (in respect of the Website). WMSB does not guarantee any given level of circulation, distribution, reach or readership for any advertisement. The Advertiser assumes liability for all content (including text representation, illustrations, updates and links to other internet content) of advertisements published and also assumes responsibility for any claims arising therefrom made against WMSB or its affiliates, including all costs associated with defending any such claim. All advertising copies that may be mistaken by a reader as news, feature or other non-advertising materials must be clearly marked “advertisement”. WMSB shall not be liable to the Advertiser for any technical malfunction, computer error or loss of data or other injury, damage or disruption to advertisements or any web sites. In the event an account is referred to a third party for collection, the Advertiser agrees to pay all collection fees including attorneys’ fees and court costs incurred to effect collection.

12. All terms and conditions will be deemed to be agreed and accepted upon the submission of the Advertisement Booking Form and binding upon the Advertiser. Any dispute or changes will have to be made with signed amendments prior to the finalization of the Publications.

13. The Advertisement Booking Form issued by WMSB to these terms and conditions, shall be taken, read and construed as an essential part of these terms and conditions.

14. These terms and conditions are governed by and are to be construed in accordance with the laws of Malaysia and the Parties hereby irrevocably submit to the exclusive jurisdiction of the courts of Malaysia.

GENERAL

This website is owned and operated by WeddingsMalaysia.Com Sdn Bhd (“WMSB”)

These Terms constitute a legal agreement between WMSB and you as the User. By accessing www.weddingsmalaysia.com (“this website”), you affirm that you are either more than 21 years of age, or possess legal parental or guardian consent, and are fully able and competent to legally enter into the Terms, and unconditionally accept to be legally bound by these Terms. You are only authorised to use this website if you agree to abide by this Agreement. Please read these Terms carefully as your entry, access and use of this website is governed by these Terms and by entering, accessing and using this website, you agree to and accept the terms and conditions contained herein. If you do not agree with and to these Terms, you must immediately leave this website and discontinue using it and any of the services provided therein.

In case of violation of these Terms, WMSB reserves the right to seek all remedies available by law and in equity for such violations. These Terms and apply to all visits to this Website, both now and in the future.

WMSB reserves the right to change these Terms from time to time at its sole discretion. All changes will be posted on this page and your use of this website after such changes have been posted will constitute your agreement to the modified Terms and all of the changes. You should therefore read the Terms carefully each time you visit this website.

This website is controlled and offered by us from our facilities in Malaysia. We make no representations that this website is appropriate or available for use in other locations. Those who access or use this website from other jurisdictions do so at their own volition and are responsible for compliance with applicable local laws.

In order to participate in certain activities or services offered on this website, you may be notified that you are required to download software or content and/or agree to additional terms and conditions applicable to such services in which you choose to participate.

These Terms shall be construed and governed by the laws of Malaysia and by accessing this website, you agree and submit to the non-exclusive jurisdiction of the courts of Malaysia.

RESTRICTION ON USE OF MATERIALS

All rights, title and interest in the content featured or displayed on this website, including, but not limited to, text, graphics, photographs, moving images, sound, illustrations, and software (“Contents”), are either owned or controlled by WMSB or licensed to it.

All Contents and the general design and content, are protected by copyright, trademark and other laws relating to intellectual property rights.

No materials from this website may be modified, used, displayed, reproduced, republished, and/or distributed in any way whether for commercial or non-commercial purpose, without the prior written permission of WMSB.

You shall indemnify WMSB against any losses, expenses, costs, or damages incurred as a result of your breach of the Terms or your unauthorized use of the Contents and related rights.

2.1 WMSB grants you permission to use the Contents strictly in accordance with these Terms, provided always that:

(a) your use of this website and the Contents as permitted is strictly and solely for your information and for your personal use for the purchase of the products sold by us (“Approved Use”);

(b) you will not sell, copy, reproduce, distribute, transmit, broadcast or adapt any part of this website and the Contents in any medium or format without our prior written consent;

(d) you will retain and display the credits and copyright notices (including without limitation to our name, bylines and the original source of the Contents) and/or trademarks belonging to WMSB provided with the Contents;

CONSENT

By accepting these Terms & Conditions, you hereby consent to our processing of your data and we confirm that all personal information provided to us will not be used for any reason other than contacting you (where necessary) and creating and compiling the content for the Publication (which may include samples of such work and photographswhich may be exhibited in our Publication, at wedding fairs and such other exhibitions). You may withdraw your consent, however please note that the withdrawal of your consent may affect the Publication and we shall not be anyway liable for any consequences (loss or damage) which may arise as a result of such withdrawal.

NO REPRESENTATION

This Website has been compiled in good faith by WMSB, but no representation is made or warranty given as to the completeness and accuracy of the information presented.

YOU AGREE THAT YOUR USE OF THE WEBSITE AND THE CONTENT SHALL BE AT YOUR SOLE RISK. To the maximum extent allowed by applicable law, under no circumstances, including, but not limited to negligence, shall WMSB be liable for any damages (including without limitation any special or consequential damages) that result from the use of, or the inability to use, any of the Contents. Any website may include technical inaccuracies or typographical errors. To the extent any law does not allow the above disclaimer or renders the above disclaimer invalid, the maximum amount that WMSB may be liable for shall not in any case exceed the lower of the actual amount paid by the relevant user/claimant to WMSB or RM1.

WMSB reserves the right to update or modify this website from time to time. Changes may be made to the Website from time to time at the discretion of WMSB.

WMSB further reserves the right to deny or restrict access to this Website to anyone at anytime and/or to block access from a particular internet address to this Website, at any time, without ascribing any reasons whatsoever.

INDEMNITY

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless WMSB, its affiliates and related entities, and the officers, directors, employees and agents of each such foregoing entity, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to legal costs and expenses) arising from:

(a) your use of and access to our Website;

(b) your violation of any term of these Terms; or

(c) your violation of any third party right, including without limitation any intellectual property, property, or privacy right.

This Clause will survive these Terms and your use of this website.

NO AGENCY

No agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship is created by this Terms and Conditions.

NOTICE

Except as explicitly stated otherwise, any legal notices shall served on A-3-13, 8 Avenue PJ, JalanSgJernih 8/1, 46050 Petaling Jaya. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you legal notice by mail to the address provided during the registration process. In such case, notice shall be deemed given three days after the date of mailing unless otherwise required by law.

ASSIGNMENT

These Terms and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by us without any restriction whatsoever.

GENERAL

These Terms and any other terms and conditions incorporated hereunder, shall constitute the entire agreement between you and us concerning our Website.

The headings and section titles in these Terms are for convenience only and have no legal or contractual effect.

These Terms operate to the fullest extent permissible by law. If any provision (or any part thereof) of these Terms is unlawful, void or unenforceable, that provision (or such part thereof) is deemed severable from the Terms and does not affect the validity and enforceability of any remaining provisions, which shall remain in full force and effect.

No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision hereunder shall not constitute a waiver of such right or provision.
